AGREEMENT TO OUR LEGAL TERMS
We are Civic Tech, Inc. ("Company," "Civic," "we," "us," "our").
We operate the website https://www.engagecivic.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").
You can contact us by email at support@engagecivic.com.
These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Civic Tech, Inc., concerning your access to and use of the Services.
How you accept these Legal Terms. When you create an account, we will ask you to agree to these Legal Terms by affirmatively checking a box or taking a similar action. You must create an account and agree to these Legal Terms before you post, send messages, contact an elected official, or use other interactive features. If you browse the Services without an account, these Legal Terms govern your use of the Services to the extent permitted by applicable law. IF YOU DO NOT AGREE WITH THESE LEGAL TERMS, YOU MAY NOT USE THE SERVICES.
IMPORTANT NOTICE REGARDING ARBITRATION: SECTION 17 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES BETWEEN YOU AND US ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS OF FIRST ACCEPTING THESE LEGAL TERMS, AS EXPLAINED IN SECTION 17.
Changes to these Legal Terms. We may update these Legal Terms from time to time. If we make material changes that adversely affect your rights, we will give you reasonable advance notice by email or through the Services before the changes take effect. Changes required by law, changes that address security or integrity issues, and changes relating to new features may take effect immediately. We will update the "Last updated" date above whenever we change these Legal Terms, and we may ask you to accept updated Legal Terms before you continue using your account. By continuing to use the Services after changes take effect, you agree to the updated Legal Terms. If you do not agree, you must stop using the Services, and you may delete your account as described in Section 13. Section 17 explains how you may reject certain changes to the arbitration provisions.
Age requirement. The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES
Civic is an independent, nonpartisan platform that helps people follow legislation, learn about their elected representatives, and share their views on public policy. Using the address you provide, the Services show you legislation, elected officials, and other civic content relevant to where you live, along with plain-language summaries of legislation and features for discussing public issues with other users. Civic also shows campaign contribution totals for federal candidates, based on reports filed with the Federal Election Commission.
Nonpartisanship. Civic does not endorse, support, or oppose any candidate, political party, or ballot measure.
Free service. The Services are currently offered free of charge. If we introduce paid features in the future, we will present the applicable pricing, payment, renewal, cancellation, and refund terms to you before you are charged, and you will not be charged without your affirmative agreement to those terms.
United States only. The Services are designed for and directed to users located in the United States, and the civic information we provide concerns government in the United States. We do not direct or market the Services to individuals located outside the United States. If you choose to access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with any local laws that apply to you.
No legal or professional advice. Nothing on the Services constitutes legal, tax, financial, or other professional advice.
2. CIVIC INFORMATION
What Civic Information is. The Services provide information concerning legislation, legislative activity, elected officials, government activity, elections, campaign finance, public records, and related civic matters ("Civic Information"). Civic Information is provided for general informational and educational purposes only.
Sources. Civic Information is compiled from official government sources and third-party data providers, including providers that match addresses to electoral districts and elected officials. We update Civic Information periodically, but it may not reflect the most recent developments, and it may be incomplete or contain errors. We do not control these sources and are not responsible for errors in source data, but we will work to correct errors we become aware of.
AI-generated content. Some Civic Information, including plain-language summaries of legislation, is generated or assisted by artificial intelligence and other automated systems. Such content may contain errors or omissions, and it may simplify or interpret the underlying source material in ways that differ from the official text. A summary is not a substitute for the legislation itself. When accuracy matters, please review the official text of the legislation, which is available from the relevant legislature or government source.
Campaign finance information. Campaign finance information on the Services is drawn from reports that candidates, political committees, and others file with the Federal Election Commission (FEC). It reflects what was reported, which may be incomplete or later amended, and we do not independently verify it.
Not an official source. Civic is not a government agency and is not affiliated with or endorsed by any government body or election authority. For official information, please consult the relevant government source. For questions about voting or registering to vote, please contact your state or local election office or visit https://vote.gov.
Reporting errors and corrections. If you believe any Civic Information is inaccurate, please report it to support@engagecivic.com. We review reports and correct verified errors as promptly as practicable.
3. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Certain Civic Information is derived from public records; nothing in these Legal Terms restricts any rights you have in public-domain material.
Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.
The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use only.
Your use of our Services
Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:
access the Services;
download or print a copy of any portion of the Content to which you have properly gained access; and
share links to the Services, and share Content using any sharing features we make available,
solely for your personal, non-commercial use.
Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: support@engagecivic.com. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.
We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.
Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.
Submissions (feedback)
If you send us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you retain ownership of your Submissions, and you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, and otherwise exploit your Submissions for any lawful purpose, including to develop and improve the Services, without acknowledgment or compensation to you. You are not required to send us Submissions, and we are not obligated to use them. You represent that your Submissions do not contain confidential information. To the extent a Submission contains personal information, we will handle that personal information as described in our Privacy Policy. If you post a Submission publicly on the Services, it is treated as a Public Contribution, and only the license in Section 7 applies to it.
The rights you grant us in content you post on the Services are described in Section 7 ("USER CONTRIBUTIONS").
4. USER REPRESENTATIONS
By using the Services, you represent and warrant, as applicable, that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are at least 18 years old; (5) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise, except through standard search engines, web browsers, and assistive technologies, or as we otherwise permit in writing; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

5. USER REGISTRATION
You may be required to register to use some or all of the Services. You agree to keep your password confidential, and you will be responsible for all use of your account and password. Please notify us promptly at support@engagecivic.com if you believe your account has been accessed without your authorization. We reserve the right to remove, reclaim, or change a username you select if we reasonably determine that such username is inappropriate, obscene, impersonates another person or organization, or is otherwise objectionable.

7. USER CONTRIBUTIONS
What Contributions are
"Contributions" means any content you submit through the Services, including the following:
Public Contributions: posts, comments, views on legislation, and other content you make visible to other users.
Private Messages: messages you send directly to other users.
Official Communications: messages you direct us to send to elected officials or government offices under Section 8.
Public Contributions can be seen by anyone who uses the Services and possibly through third-party websites. Private Messages are visible to their recipients, and we may access them as described in our Privacy Policy, for example when they are reported to us. Official Communications are delivered to the office you select. Please do not include in a Public Contribution any personal information that you do not want others to see, including information about your own political or policy views that you prefer to keep private.
Contribution standards
When you create or make available any Contributions, you represent and warrant that:
The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights, of any third party.
You are the creator and owner of, or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Services, and other users of the Services to use, your Contributions in any manner contemplated by the Services and these Legal Terms.
Your Contributions do not contain statements of fact that you know to be false or misleading.
Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
Your Contributions do not harass, bully, intimidate, or abuse any person. Criticism of public officials, candidates, political organizations, and public institutions, including sharp or satirical criticism, is permitted.
Your Contributions are not used to harass or threaten (in the legal sense of those terms) any person, and do not promote violence against any person or group.
Your Contributions do not disclose another person's private personal information, such as a home address, private phone number, or private email address, without that person's permission.
Your Contributions do not violate any applicable law, regulation, or rule.
Your Contributions do not violate the privacy or publicity rights of any third party.
Your Contributions do not sexualize minors or otherwise violate any law intended to protect the health or well-being of minors.
Your Contributions do not attack or demean people on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or other protected characteristic.
Your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms or any applicable law or regulation.
We may publish additional community guidelines that explain these standards in more detail. Any use of the Services in violation of these standards violates these Legal Terms and may result in, among other things, removal of your Contributions and suspension or termination of your rights to use the Services. We apply these standards without regard to the political viewpoint expressed.
Contribution license
You own your Contributions. We do not claim ownership of your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with them.
The license you grant us. By submitting Contributions through the Services, you grant us a non-exclusive, worldwide, royalty-free, fully paid license that depends on the type of Contribution:
Public Contributions: to host, store, cache, reproduce, publicly display, distribute, transmit, reformat, and translate them, and to excerpt or adapt them as reasonably necessary to display them on the Services (for example, to fit different screen sizes or formats), solely for the purpose of operating, providing, and improving the Services and creating aggregated or de-identified information as described in our Privacy Policy. This includes the right to display your username and any profile information you choose to make public alongside your Public Contributions.
Private Messages: to host, store, process, and transmit them to their intended recipients, and to access and use them as described in our Privacy Policy, including where necessary for safety, security, legal compliance, customer support, or reviewing reports.
Official Communications: to host, store, process, and transmit them to the elected official or government office you select, and to handle them as described in our Privacy Policy.
We will not publicly display your Private Messages or Official Communications. We may sublicense these rights only to service providers that help us operate the Services, and only for that purpose. This license is transferable only in connection with an assignment of these Legal Terms permitted under Section 25.
What we will not do. We will not sell your Contributions, and we will not use your Contributions or your name or username in advertising or other promotional materials without your separate, express consent.
How long the license lasts. For Public Contributions, this license continues for as long as the Public Contribution remains on the Services and ends when you delete it or your account, except (a) for a reasonable period needed to remove it from backups and caches, (b) to the extent it has been shared by other users (for example, quoted in another user's Public Contribution) and remains on the Services, and (c) to the extent we are required to retain it to comply with law, enforce these Legal Terms, or resolve disputes. For Private Messages and Official Communications, our rights continue as reasonably necessary to deliver, maintain, and process communications already sent or received, operate the Services, comply with applicable law, enforce these Legal Terms, and resolve disputes, and as otherwise described in our Privacy Policy. Deleting your account does not delete copies of messages or communications already delivered to their recipients.
Moral rights. To the extent permissible by applicable law, you waive, and agree not to assert, any moral rights in your Contributions, but only to the extent necessary for us to exercise the license granted in this Section.
Your responsibility for Contributions
You are solely responsible for your Contributions. We are not liable for any statements or representations in Contributions provided by users in any area of the Services. To the extent permitted by applicable law, you release us from any claims arising out of the content of your own Contributions, other users' responses or reactions to them, or our removal or restriction of them in accordance with these Legal Terms, except to the extent a claim arises from our breach of these Legal Terms or our Privacy Policy, or from our gross negligence or willful misconduct.
Moderation
We have no obligation to monitor Contributions. We may, in our discretion and at any time, remove, restrict the visibility of, re-categorize, decline to publish, or prevent the transmission or delivery of any Contribution that we reasonably believe violates these Legal Terms or is otherwise harmful. We will not edit the substance of your Contributions; however, we may redact personal information, unlawful content, or content that violates these Legal Terms, and we may make formatting changes needed for display. If we remove or restrict your Contributions, we may also suspend or terminate your account as described in Section 14 and, where we believe it is required by law or necessary to prevent harm, report content to law enforcement authorities.
Reporting content
To report a Contribution that you believe violates these Legal Terms or the law, email support@engagecivic.com with the subject line "Report Content" and include a link to or description of the content and the reason for your report. You do not need a Civic account to submit a report. Copyright complaints are handled under Section 9.
8. COMMUNICATIONS WITH ELECTED OFFICIALS
Where the Services allow you to send a message or other communication to an elected official or government office, the following terms apply:
We send it at your direction. When you choose to send a communication, we transmit it, along with the information needed to deliver it, to the office you select. Before you submit a communication, we will tell you what personal information will be provided with it. Some offices require information such as your name or mailing address to confirm that you are a constituent.
The message is yours. Communications you send through the Services are your own statements, not Civic's. Transmitting a communication does not mean that Civic authors, endorses, or agrees with it.
No guarantee of a response. We do not control government offices, and we do not guarantee that any office will receive, read, or respond to your communication.
The office's own practices apply. Once an office receives your communication, it handles your information according to its own practices, not our Privacy Policy.
Same standards apply. Official Communications are Contributions and must meet the standards in Section 7. In particular, you may not use the Services to send threats or harassment to any official or office.
9. COPYRIGHT INFRINGEMENT (DMCA)
We respect the intellectual property rights of others. If you believe that material available on or through the Services infringes a copyright you own or control, please send a written notice by email to support@engagecivic.com with the subject line "Copyright Notice" that includes all of the following:
Your physical or electronic signature (or that of a person authorized to act on your behalf);
Identification of the copyrighted work you claim has been infringed (or, if multiple works are covered by a single notice, a representative list of such works);
Identification of the material you claim is infringing, with information reasonably sufficient for us to locate it (such as the URL);
Your name, address, telephone number, and email address;
A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
A statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on the copyright owner's behalf.
Counter-notification. If you believe material you posted was removed or disabled by mistake or misidentification, you may send a counter-notification by email to support@engagecivic.com with the subject line "Copyright Counter-Notice" that includes: (1) your physical or electronic signature; (2) identification of the material that was removed or disabled and the location where it appeared before removal; (3) a statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification; and (4) your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which we may be found), and that you will accept service of process from the person who provided the original notice or that person's agent. If we receive a valid counter-notification, we may restore the material in not less than ten (10) nor more than fourteen (14) business days, unless the original complaining party notifies us that it has filed a court action seeking to restrain the allegedly infringing activity.
Repeat infringers. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
Please note that under the Digital Millennium Copyright Act, any person who knowingly and materially misrepresents that material is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages.
10. THIRD-PARTY WEBSITES AND CONTENT
The Services may contain (or you may be sent via the Site) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). This Section does not apply to third-party source data that we incorporate into Civic Information, which is addressed in Section 2. Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. This includes links to government, candidate, campaign, party, or advocacy websites, which we provide for informational purposes only. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Legal Terms no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Services or relating to any applications you use or install from the Services. Any purchases or donations you make through Third-Party Websites will be through other websites and from other organizations, and we take no responsibility whatsoever in relation to such transactions, which are exclusively between you and the applicable third party. We do not endorse the products or services offered on Third-Party Websites. To the extent permitted by applicable law, we are not responsible for, and you release us from claims arising from, any harm caused by your purchase of such products or services, or any losses or harm relating to Third-Party Content or your contact with Third-Party Websites.
11. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our reasonable discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our reasonable discretion, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our reasonable discretion and without notice, remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
12. PRIVACY
Our Privacy Policy, available at https://www.engagecivic.com/privacy, explains how we collect, use, disclose, retain, and protect personal information, including the cookies and similar technologies we use and the privacy rights that may be available to you. The Privacy Policy applies to your use of the Services, and we encourage you to read it.
Political and policy views. Some information you share through Civic may reveal your political or policy views. We treat identifiable information revealing your political or policy views as sensitive, and we do not sell your personal information.
Nonpublic information. We do not disclose your nonpublic personal information, including nonpublic information about your political or policy views, to candidates, campaigns, political parties, political committees, or advertisers, except at your direction or with your consent (for example, when you choose to send a communication to an elected official under Section 8).
Public information. Information you choose to make public on the Services, such as your username and Public Contributions, can be seen by anyone who uses the Services, including elected officials, candidates, campaigns, journalists, and political organizations.
Where your information is processed. The Services are hosted in the United States and are directed to users located in the United States. If you access the Services from outside the United States, your information will be transferred to, stored, and processed in the United States.
13. YOUR ACCOUNT AND DATA
Managing your account. You can review and update certain account information in your account settings. You may request deletion of your account, or access to, correction of, or deletion of your personal information, as described in our Privacy Policy. When you delete your account, we handle your personal information as described in our Privacy Policy.
Privacy rights. Depending on where you live, and to the extent applicable to Civic, state privacy laws may give you additional rights regarding your personal information. Our Privacy Policy describes these rights and how to exercise them. We will not discriminate against you for exercising any of these rights.
Data you transmit. We maintain data that you transmit to the Services for the purpose of providing and managing the performance of the Services, as well as data relating to your use of the Services. You are responsible for maintaining copies of any Contributions you wish to preserve. To the extent permitted by applicable law, and subject to Section 20, we are not responsible for any loss or corruption of such data. Nothing in this Section limits your rights under applicable privacy or data-security laws.
14. TERM AND TERMINATION
These Legal Terms shall remain in full force and effect while you use the Services.
Termination by you. You may stop using the Services at any time, and you may request deletion of your account as described in Section 13.
Suspension or termination by us. We may suspend or terminate your access to the Services (including by blocking certain IP addresses), or delete your account, immediately and without prior notice if: (a) you breach these Legal Terms or applicable law; (b) we reasonably believe your use of the Services poses a risk of harm to other users, to third parties, to the integrity of the Services or of any election, or to us; or (c) we are required to do so by law or by a governmental authority. We may also terminate your account for any other reason by giving you at least seven (7) days' prior notice by email to the address associated with your account. We may modify or discontinue features of the Services as described in Section 15, and if we discontinue the Services entirely, we will provide reasonable advance notice where practicable.
Your data after termination. If we terminate your account for a reason other than a serious or repeated violation of these Legal Terms, you may request a copy of your personal information as described in our Privacy Policy. Regardless of the reason for termination, we will continue to honor privacy requests (such as requests to access or delete your personal information) as required by applicable law, and we will handle your personal information after termination as described in our Privacy Policy.
No new accounts after termination. You may not create another account to get around a suspension or termination without our permission. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
Survival. Any provision of these Legal Terms that by its nature should survive termination will survive, including Sections 3, 7 (as to licenses that survive under its terms), 12, 13, 16 through 22, and 25.
15. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services, except as described in Section 2. To the fullest extent permitted by applicable law and subject to Section 20, we will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services or any feature of them at any time or for any reason, subject to Section 14. To the fullest extent permitted by applicable law and subject to Section 20, we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.
16. GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts applicable to agreements made and to be entirely performed within the Commonwealth of Massachusetts, without regard to its conflict of law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in Section 17.
17. DISPUTE RESOLUTION
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party. Notice to us must be sent by email to support@engagecivic.com with the subject line "Dispute Notice," and must include: (1) your name; (2) the email address associated with your account, if any, and the best way to contact you; (3) a description of the Dispute, including the relevant dates and what happened; and (4) the relief you are seeking. Notice to you will be sent to the email address associated with your account.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. This agreement to arbitrate is governed by the Federal Arbitration Act. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (the "AAA Consumer Rules"), which are available at the AAA website (www.adr.org). Your arbitration fees and your share of arbitrator compensation shall be governed by, and where appropriate limited by, the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the AAA Consumer Rules or applicable law, or as otherwise agreed by the Parties, any in-person hearing will take place in Norfolk County, Massachusetts. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state courts located in Norfolk County, Massachusetts, or in the United States District Court for the District of Massachusetts, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in such courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.
Right to Opt Out of Arbitration
You may opt out of the Binding Arbitration and Restrictions provisions of this Section by emailing support@engagecivic.com with the subject line "Arbitration Opt-Out" within thirty (30) days after you first accept these Legal Terms. Your notice must include your name, the email address associated with your account (if any), and a clear statement that you wish to opt out of arbitration. If you opt out, Disputes between you and us will be resolved in the courts identified above. Opting out will not affect any other provision of these Legal Terms. If we make a material change to this Section 17, you may reject that change by sending us written notice within thirty (30) days after the change takes effect, in which case the prior version of this Section will continue to apply to you.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. If this Restrictions provision is found to be unenforceable with respect to a particular claim or request for relief, then that claim or request for relief (and only that claim or request for relief) shall be severed and decided by a court identified above, and all other claims shall be arbitrated.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; (c) any claim for injunctive relief; and (d) any individual claim that qualifies for, and remains in, small claims court. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
